Reference is made to the recent announcements made by Jacktel AS (“Jacktel”) regarding the successful placement of the new USD 150 million secured bond issue and the results of Jacktel’s offer to purchase for cash consideration (the “Tender Offer”) all outstanding bonds in the existing JACKT01 (ISIN: NO001 0714561) (the “Bonds”). Settlement for the new bond issue (ISIN: NO 001 0836778) and the Tender Offer was successfully completed today. Simultaneously, Jacktel has submitted a call option exercise notice for the Bonds to Nordic Trustee AS to redeem in full the remaining Bonds which have not been repurchased and cancelled following the settlement of the Tender Offer. Master Marine AS has submitted a similar call notice for the Master Marine bond issue (ISIN: NO 001 0793656) to be settled on 22 January 2019.
Jacktel will redeem EUR 902,071 of Bonds at par value plus accrued interest on the redeemed amount up until, but not including, the settlement date of the call option on 21 January 2019.
